Terms of Service

  1. General Provisions

1.1 Purpose

These Terms of Service establish a legally binding agreement between WeWake Finance and users of the Services and define the rights, responsibilities, and limitations applicable to all interactions with the platform. By accessing or using any part of the WeWake platform, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.

1.2 Service Provider

The Services are operated by WeWake Finance, a protocol and infrastructure provider for blockchain-based smart account interactions. WeWake Finance provides technological infrastructure and tooling — it does not act as a financial institution, investment advisor, broker, exchange, or custodian unless explicitly stated otherwise.

1.3 Nature of Services

WeWake Finance provides technological infrastructure enabling interaction with blockchain systems, including but not limited to:

  • Token acquisition interfaces

  • Staking participation mechanisms

  • Smart account provisioning

  • Transaction routing and execution sponsorship

  • Reward distribution systems

  • User interface layers interacting with smart contracts

WeWake Finance does not operate as:

  • A financial institution

  • An investment advisor

  • A broker or exchange

  • A custodian (unless explicitly stated)

1.4 Eligibility

By using the Services, you represent and warrant that you are at least 18 years of age, have the legal capacity to enter into binding agreements in your jurisdiction, and are not located in or a resident of any jurisdiction where use of the Services is prohibited or restricted by applicable law.


  1. Account and Access

2.1 Smart Account Creation

When you log in to WeWake Finance using a supported identity provider (such as Telegram or Google), a smart account is automatically deployed on the WeWake L2 network. This account is non-custodial — WeWake Finance does not hold or control the private keys associated with your account. You are solely responsible for maintaining access to your login credentials and recovery shares.

2.2 Account Security

You are responsible for all activity that occurs under your account. You must notify WeWake Finance immediately if you become aware of any unauthorized access to your account or any other security breach. WeWake Finance will not be liable for any losses arising from unauthorized access resulting from your failure to secure your credentials.

2.3 Account Recovery

WeWake Finance provides recovery mechanisms through the WakeKey MPC system. Recovery requires a valid combination of key shares as defined in the protocol documentation. WeWake Finance does not guarantee recovery in all circumstances and cannot access your account on your behalf.

2.4 Prohibited Activities

You agree not to use the Services to:

  • Violate any applicable local, national, or international law or regulation

  • Engage in money laundering, terrorist financing, or other illegal financial activities

  • Attempt to manipulate, exploit, or attack the protocol or its smart contracts

  • Use automated bots or scripts to abuse platform features, including Paymaster sponsorship and reward systems

  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

  • Attempt to reverse engineer, decompile, or extract source code from any part of the Services


  1. Token Participation and Staking

3.1 Presale Participation

Participation in the WAKE token presale (ICO) is subject to eligibility requirements, applicable law, and the specific terms published at the time of the presale. Presale allocations are distributed through a Merkle-based vested claim contract. WeWake Finance makes no representations regarding the future value of WAKE tokens.

3.2 Vesting and Claiming

Presale participants acknowledge that token allocations are subject to a vesting schedule: 8% unlocked at TGE, followed by a 2-month cliff and monthly post-cliff releases over an 18-month total vesting window. Claimable amounts are determined by the on-chain vesting contract. WeWake Finance cannot accelerate, modify, or override the vesting schedule once deployed.

3.3 Staking

Staking on WeWake Finance is implemented as a standalone retail staking v1 pool. It is non-slashing, meaning your staked tokens cannot be seized or destroyed by protocol mechanisms. Staking rewards are distributed from a bound emission vault on a continuous time-based schedule over 36 months with no staking cliff. Reward rates are variable and depend on the total amount staked at any given time. WeWake Finance does not guarantee any specific return on staked tokens.

3.4 Unstaking

In the current deployment configuration, the unbonding period is 0, meaning users can request unstake and withdraw their tokens immediately. WeWake Finance reserves the right to update staking parameters through governance and timelock-controlled processes with appropriate notice.

3.5 Empty Pool Semantics

If staking emissions unlock while no tokens are staked in the pool, those emissions are recorded as undistributed rewards and do not retroactively accrue to the first later staker. Undistributed rewards can only be released through the owner or timelock-controlled path.


  1. Fees and Gas Sponsorship

4.1 Paymaster Sponsorship

WeWake Finance operates a Paymaster sponsorship layer that may cover transaction fees on behalf of users. Sponsorship is subject to on-chain policy rules, budget availability, and eligibility conditions defined by the Paymaster contracts. WeWake Finance does not guarantee continuous or unconditional fee sponsorship and may adjust sponsorship policies at any time.

4.2 Protocol Fees

A small L2 fee component may apply per transaction batch, payable via Paymaster credits and settled in the runtime fee token (initially ETH on L2). Any WAKE-denominated fee metering should be treated as a future or implementation-dependent feature and is not part of the current token or protocol implementation.

4.3 No Hidden Fees

WeWake Finance will make reasonable efforts to disclose all applicable fees clearly within the platform interface. Users are encouraged to review fee disclosures before confirming any transaction.


  1. Risks and Disclaimers

5.1 Technology Risk

Blockchain technology, smart contracts, and cryptographic systems carry inherent risks including but not limited to: software bugs, protocol vulnerabilities, network congestion, and unforeseen interactions between contracts. WeWake Finance conducts third-party security audits but cannot guarantee the complete absence of vulnerabilities.

5.2 Market Risk

The value of WAKE tokens and other digital assets is subject to significant volatility. Prices can decrease substantially in short periods of time. Past performance does not indicate future results. WeWake Finance makes no representations or warranties regarding the future price or value of any digital asset.

5.3 Regulatory Risk

The regulatory environment for blockchain technology and digital assets is evolving rapidly and varies by jurisdiction. Changes in applicable laws or regulations may affect your ability to use the Services or the value of digital assets. You are solely responsible for understanding and complying with the laws applicable to your use of the Services.

5.4 Sequencer Risk

The WeWake L2 network currently relies on a sequencer to order and include transactions. While the sequencer cannot produce invalid state transitions (which are rejected by the L1 verifier), it can affect liveness. WeWake Finance is committed to progressive decentralization of the sequencer role as described in the protocol roadmap.

5.5 No Investment Advice

Nothing in these Terms or on the WeWake platform constitutes investment, financial, legal, or tax advice. You should consult qualified professionals before making any decisions related to digital assets or blockchain participation.


  1. Intellectual Property

6.1 Platform Content

All content, interfaces, designs, and documentation provided by WeWake Finance are the intellectual property of WeWake Finance or its licensors. You may not reproduce, distribute, or create derivative works from any platform content without prior written permission.

6.2 Open Source Components

Certain components of the WeWake protocol may be released under open source licenses. In such cases, the applicable open source license terms govern your use of those components. Open source licensing does not extend to the WeWake brand, trademarks, or proprietary platform interfaces.

6.3 User Content

By submitting feedback, suggestions, or other content to WeWake Finance, you grant WeWake Finance a non-exclusive, royalty-free, worldwide license to use, reproduce, and incorporate such content into the platform and related services.


  1. Limitation of Liability

7.1 General Limitation

To the maximum extent permitted by applicable law, WeWake Finance shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, including but not limited to: loss of funds, loss of data, loss of profits, or inability to access the platform.

7.2 Total Liability Cap

WeWake Finance's total cumulative liability to you for any claims arising under these Terms shall not exceed the amount of fees you have paid to WeWake Finance in the six months preceding the claim, or 100 USD, whichever is greater.

7.3 Force Majeure

WeWake Finance shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: blockchain network failures, regulatory actions, natural disasters, or third-party service outages.


  1. Termination

8.1 By You

You may stop using the Services at any time. Termination of your use of the platform does not affect any on-chain obligations or token positions you hold through smart contracts.

8.2 By WeWake Finance

WeWake Finance reserves the right to suspend or terminate your access to the platform interface at any time for violation of these Terms, suspected illegal activity, or to comply with applicable law. Termination of interface access does not affect your ability to interact directly with on-chain contracts.

8.3 Effect of Termination

Upon termination, your right to access the WeWake platform interface ceases immediately. Any provisions of these Terms that by their nature should survive termination shall survive, including Sections 5, 6, 7, and 9.


  1. Governing Law and Disputes

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which WeWake Finance is incorporated, without regard to its conflict of law provisions.

9.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of a mutually agreed arbitration body.

9.3 Class Action Waiver

To the extent permitted by applicable law, you waive any right to participate in a class action lawsuit or class-wide arbitration against WeWake Finance.


  1. Changes to These Terms

WeWake Finance reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated date and, where material, notified to users through the platform or by email. Continued use of the Services after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
